CCA official statement relating to the international tender for the sale of Optima Telekom shares published by HT

The Croatian Competition Agency (CCA) herewith informs the public that the CCA should not and may not publish any information about the submitted bids. Any queries dealing with the price of and trade in shares of a joint stock company fall outside the jurisdiction of the CCA.

The task of the CCA is to maintain or strengthen the competitive structure of the market by applying competition rules.

This concretely means that after the seller informs the CCA about the selected buyer and after the Trustee submits the report thereof, the CCA shall first examine whether the buyer fulfils the conditions defined under the measures listed in the decision of the CCA on the basis of which the concentration between HT and OT was conditionally approved.

Further, the CCA shall provide the assessment of whether the selected buyer is a suitable purchaser in the sense of competition rules. In other words, the CCA must carry out the assessment of possible significant anti-competitive effects of the sale of OT to the selected buyer in the relevant markets affected by the transaction concerned, particularly where the implementation of the concentration concerned would create a new economic entity that would hold a dominant position in the relevant markets concerned or strengthen the already existing dominant position.
