The CCA adopted the third report of the monitoring trustee Ernst & Young d.o.o. in HT/Optima

The third report of the monitoring trustee Ernst & Young d.o.o. in HT/Optima was adopted by the CCA in May.

As regards the committments relating to the management of Optima assets that have been monitored on the basis of the users’ base and the infrastructure, the trustee established the falling trend from the previous period: in the public voice telephony there has been a decrease in revenue and the number of users. This reflects a global falling trend in the market concerned and therefore does not significantly affect the fall in the market share of Optima.

With reference to the commitment of HT to protect the confidentiality of Optima users’ data the CCA accepted the recommendation of the trustee to implement additional measures aimed at mitigating the risk of unauthorised access to the business systems of Optima, particularly, with the view to preventing ex-employees to access the confidential user’s accounts databases.

The CCA also accepted the report of the trustee relating to the revised Ordinance on the implementation of the measure, a so called Chinese Wall between HT and Optima, particularly in the part laying down the prohibition of exchange of commercially sensitive business data between the employees of Optima, Combis and KDS Čakovec within the HT Group. On the other hand, the CCA did not approve of the revisions of the Ordinance on the establishment of the Chinese Wall between HT and Optima in force since 28 September 2015 that were proposed by HT. It is the opinion of CCA and HAKOM pointed out that the existing ordinance ensures the implementation of the measure that prevents the exchange of sensitive information.

The third report concludes that the service users are adequately informed that Optima is a member of HT group. At the same time, HT complies with its commitment not to involve in any acquisition of control over other alternative electronic communications operators which are involved or which during the time line of the concentration may end up in a pre-bankruptcy settlement proceeding.
