CCA on the sale of Optima Telekom shares

On 9 June 2017 the Croatian Competition Agency (CCA) adopted a decision Class: UP/034-03/2013-02/007, Reg.no.: 580-11/41-239, on the basis of which Hrvatski telekom (HT) has been committed under paragraph III.2 to start selling all its shares in Optima Telekom in the period from 1 to 31 January 2020.

Further, paragraph III.2 provides that in the event that within six months from the starting date of the sale of the shares, there would be no interest for Optima’s takeover, HT shall engage an investment banker mandated to assist the sale of Optima.

It is therefore clear that the above-mentioned decision of the CCA provides for the obligation of HT to engage an investment banker to assist the sale of the shares in question.

The CCA turns the attention to its official statement relating to the international tender for the sale of Optima Telekom shares published by HT on 20 March 2020 in which it informed the public that the CCA cannot and may not publish any information about the submitted bids while any queries dealing with the price of and trade in shares of a joint stock company fall outside the jurisdiction of the CCA.
