The Croatian Competition Agency (CCA) fined PPK-BJELOVAR d.d., Bjelovar EUR 50,000 for a serious infringement of the Croatian Act on the prohibition of unfair trading practices in the business-to-business food supply chain (UTPs Act).<\/p>\n

The CCA opened ex officio infringement proceeding against the buyer PPK-BJELOVAR within the meaning of the UTPs Act with the view to establishing whether it used its strong bargaining power and imposed unfair trading practices on its suppliers of agri- and food products.<\/p>\n

The investigation showed that PPK-BJELOVAR used its strong bargaining power and imposed unfair trading practices on its suppliers by:<\/p>\n

    \n
  1. Failure to Include Delivery Deadlines in Contracts<\/strong>
    \nPPK-BJELOVAR operated with two suppliers of food products based on contracts that did not include provisions on delivery deadlines. For one of these suppliers, no delivery deadline was subsequently agreed upon in writing before regular daily deliveries began. For the other supplier, although the contract did not specify a delivery deadline, only four out of 28 deliveries during the observed period were subject to a written agreement on delivery time prior to the deliveries; the remaining 24 deliveries were not. This contravenes Article 5 par 1 item 4 of the UTPs Act and constitutes an unfair trading practice under Article 4 par 2 item 1 of the UTPs Act.<\/li>\n
  2. Imposing Non-Contractual Delivery Terms<\/strong>
    \nPPK-BJELOVAR conducted business with one supplier by demanding deliveries under conditions that were not included in the contract. The absence of such provisions and the imposition of delivery terms not contractually agreed upon violate Article 5 par 1 item 4 of the UTPs Act and represents an unfair trading practice under Article 4 par 2 item 1 of the UTPs Act.<\/li>\n
  3. Late Payments Beyond Legal Deadlines<\/strong>
    \nPPK-BJELOVAR made payments to three suppliers beyond the statutory deadlines \u2014 exceeding 30 days for perishable agricultural and food products and exceeding 60 days for non-perishable products \u2014 which violates the payment deadlines stipulated by the UTPs Act.<\/li>\n
  4. Returning Unsold Products Without Proper Agreement<\/strong>
    \nPPK-BJELOVAR returned unsold food products to one supplier without meeting the requirements of Article 12 par 2 item 7, which stipulates that such practices must be clearly and unambiguously agreed upon in the contract or subsequent written agreement between the supplier and the buyer before such returns are made. Moreover, the return of goods did not fall under the exceptions such as: first-time deliveries, products for which the supplier explicitly requested sale and had been warned in writing by the buyer about low turnover and possible expiry, or new products with a trial period formally agreed in writing. This constitutes an unfair trading practice under Article 4 par 2 item 6 in conjunction with Article 12 par 1 item 7 of the UTPs Act.<\/li>\n<\/ol>\n

    To remedy these violations and irregularities in PPK-BJELOVAR dealings with its suppliers of agricultural and food products, the CCA issued a decision imposing commitments on PPK-BJELOVAR for the elimination of unfair trading practices.<\/p>\n

    Considering the gravity, the scope and the duration of the infringement, the consequences for the suppliers, and several mitigating circumstances, the CCA imposed PPK-BJELOVAR a fine in the amount of EUR 50,000. The CCA found that the fine would have a deterrent effect not only on PPK-BJELOVAR but also on other actors in the food supply chain.<\/p>\n
