At present, control over Kaufmann i Hofmann is exercised by <strong>Interkapital<\/strong>, specifically through <strong>Intercapital HICP<\/strong> and <strong>WKB 4 GmbH<\/strong>.<\/p>\n<p>The concentration is implemented through the <strong>indirect control of HOK-Osiguranje<\/strong> in the joint control structure via <strong>Intercapital HICP<\/strong>, and the <strong>direct control of RMF RE<\/strong> as a new joint controller alongside the existing shareholders <strong>Interkapital<\/strong> and <strong>WKB 4 GmbH<\/strong>. The transaction represents an <strong>investment in a commercial property<\/strong> with the aim of <strong>joint management and further development<\/strong> of the City Center One Split shopping centre.<\/p>\n<p>On <strong>22 September 2025<\/strong>, the CCA published on its website a <strong>request for information from interested parties<\/strong> regarding the proposed concentration. During the consultation period, which ran until <strong>2 October 2025<\/strong>, the CCA <strong>did not receive any comments or observations<\/strong>.<\/p>\n<h3><strong>Activities of the parties<\/strong><\/h3>\n<p>The undertaking <strong>Kaufmann i Hofmann d.o.o.<\/strong> owns and manages <strong>City Center One Split<\/strong>, one of the leading commercial properties in the Dalmatia region.<br \/>\n<strong>Interkapital d.d.<\/strong> and <strong>Intercapital HICP d.o.o.<\/strong> operate in the <strong>financial services sector<\/strong>, primarily in <strong>investment management and fund administration<\/strong>.<br \/>\n<strong>HOK-Osiguranje d.d.<\/strong> operates in the <strong>insurance sector<\/strong> and, through affiliated undertakings, also in other business areas.<br \/>\n<strong>RMF RE d.o.o.<\/strong>, part of the <strong>Raiffeisen Group<\/strong>, was established to <strong>invest in real estate<\/strong> on behalf of <strong>Raiffeisen pension funds<\/strong>.<br \/>\n<strong>WKB 4 GmbH<\/strong> forms part of an <strong>Austrian group specialising in the development, management, and investment in shopping centres and other commercial real estate<\/strong>.<\/p>\n<p>According to the notification, <strong>the concentration primarily affects the retail premises<\/strong><strong> leasing market<\/strong><strong> in <\/strong><strong>Split<\/strong><strong> and its surrounding area.<\/strong> Through this transaction, <strong>HOK-Osiguranje<\/strong> and <strong>RMF RE<\/strong> are <strong>entering the market<\/strong>, and therefore <strong>the market structure will remain unchanged<\/strong>.<\/p>\n<p>The parties to the concentration are <strong>not active in any horizontally or vertically related<\/strong> markets. Although <strong>HOK-Osiguranje<\/strong>, through affiliated undertakings, owns other commercial properties (office buildings and shopping centres), these are located in <strong>different geographic areas<\/strong> and therefore <strong>do not affect<\/strong> the retail property leasing in Split.<\/p>\n<h3><strong>Market assessment and conclusion<\/strong><\/h3>\n<p>Based on the submitted data, the analysis of market effects, and other available data, the CCA found that <strong>it can be <\/strong><strong>reasonably assumed<\/strong><strong> that the notified concentration <\/strong><strong>is not prohibited<\/strong><strong> within the meaning of <\/strong><strong>Article 16 of the Competition Act<\/strong><strong>,<\/strong> OG 79\/09, 80\/13, 41\/21 and 155\/23).<\/p>\n<p>The implementation of the concentration <strong>will not lead to the creation or strengthening of a dominant position<\/strong>, nor to a <strong>significant impediment to effective competition<\/strong> in the <strong>relevant retail premises leasing market in Split and the surrounding area<\/strong>.<\/p>\n<p>Accordingly, the notified concentration is <strong>considered compatible with competition law<\/strong> and has been <strong>cleared in Phase I<\/strong>, pursuant to <strong>Article 22(1)<\/strong> of the <strong>Competition Act<\/strong>.<\/p>\n<p><em>The letter of concordance in the Croatian language is available on the CCA\u2019s website at the following\u00a0<a href=\"https:\/\/www.aztn.hr\/ea\/wp-content\/uploads\/\/2025\/10\/Interkapital-HOK-potvrda-o-dopustenosti-web.pdf\" target=\"_blank\" rel=\"noopener\">link<\/a><\/em><\/p>\n","protected":false},"excerpt":{"rendered":"<p>The Croatian Competition Agency (CCA) has cleared in Phase I the proposed concentration resulting from the acquisition of joint control over Kaufmann i Hofmann d.o.o., based in Zagreb, by the undertakings Interkapital d.d.
