The Croatian Competition Agency (CCA) fined DECENTIA d.o.o. from Zagreb EUR 60,000 for a serious infringement of the Croatian Act on the prohibition of unfair trading practices in the business-to-business food supply chain (UTPs Act).<\/p>\n

The CCA opened ex officio infringement proceeding against the buyer DECENTIA within the meaning of the UTPs Act with the view to establishing whether it used its strong bargaining power and imposed unfair trading practices on its suppliers of agri- and food products.<\/p>\n

The investigation showed that DECENTIA used its strong bargaining power and imposed unfair trading practices on its suppliers by:<\/p>\n

    \n
  1. Conducting business on the basis of contracts that did not contain, in writing and prior to delivery, provisions on the price, quality and type of agricultural and food products, as well as the conditions, deadlines and place of delivery.<\/li>\n<\/ol>\n
      \n
    1. Operating under contracts granting the buyer the right, at the supplier\u2019s expense, to refuse delivery and return goods not delivered within a \u201csufficient shelf-life period\u201d, without clearly, measurably and transparently defining what constituted a \u201csufficient shelf-life period\u201d, thereby omitting essential terms of contract.<\/li>\n<\/ol>\n
        \n
      1. Making payments beyond statutory deadlines\u2014 exceeding 30 days for perishable agricultural and food products and exceeding 60 days for non-perishable products \u2014 which violates the payment deadlines stipulated by the UTPs Act.<\/li>\n<\/ol>\n
          \n
        1. Reducing the value of standard-quality agricultural or food products in a non-transparent manner by failing to pay the suppliers\u2019 invoices in full.<\/li>\n
        2. Applying a contractual clause in private-label supply agreements requiring suppliers, at the buyer\u2019s request and at their own cost, to carry out an annual product quality analysis, thereby imposing additional quality controls at the supplier\u2019s expense regardless of the outcome.<\/li>\n
        3. Returning delivered but unsold agricultural and food products to suppliers based on an exception that had not been agreed in advance in a clear and unambiguous manner, as required by the UTPs Act.<\/li>\n<\/ol>\n

          In setting the fine, the CCA took into account the gravity, scope, duration and the consequences of the infringement on the suppliers, as well as several mitigating circumstances. The CCA found that the fine would have a deterrent effect not only on DECENTIA but also on other actors in the food supply chain.<\/p>\n
