Assessment of INA and PPD / Petrokemija merger

Considering that the notification submitted by the notifying parties – INA and PPD on 28 August 2018 was found uncomplete by the Croatian Competition Agency (CCA), the notifying parties were requested to submit the supporting documents by 10 September 2018 at the latest.

The concentration concerned is considered an EU dimension concentration. It had been first notified to the European Commission and it had subsequently been referred to the Croatian Competition Agency in line with the explicit request of the parties to the concentration.

Once it has received a complete notification that is necessary for the assessment of the concentration concerned, the CCA will send acknowledgement of receipt to the notifying parties confirming that the notification regarding the implementation of the concentration concerned is now complete. This is the moment when the 30-day-deadline for the assessment of concentration begins to run for the CCA.

In the First Phase the CCA publishes a request for information on its web site, which is a mandatory step in the proceeding for the assessment of compatibility of concentration. After the 30-day-deadline expires the CCA decides whether the implementation of the concentration is allowed in Phase I, without any formal proceeding being initiated, or, it takes a decision – a procedural order, on the basis of which it opens a formal assessment proceeding in Phase II. The matter in Phase II must be resolved by the CCA within three months from the day on which the formal assessment proceeding is initiated.
